A Diginote is a digital commitment document that is created, signed, managed, monitored, transferred, and stored electronically through the Wixxir platform.

Diginotes enable parties to digitally record and manage payment obligations, receivables, debts, services, sales transactions, and other commitments between parties.

The legal nature, validity, enforceability, transferability, and evidentiary value of a Diginote may depend on the relationship between the parties, the content of the document, applicable agreements, and the laws of the relevant jurisdiction. In certain circumstances, a Diginote may create legally binding obligations between the parties.

Before creating, signing, accepting, transferring, endorsing, assigning, or otherwise relying upon a Diginote, all parties should carefully review the document content, payment terms, due dates, amounts, and related obligations.

# User Responsibilities

Each party is solely responsible for ensuring that all information entered into a Diginote, including names, contact information, amounts, payment schedules, due dates, descriptions, and other terms, is accurate, complete, and lawful.

Users are solely responsible for evaluating the identity, reliability, solvency, creditworthiness, performance, and suitability of any other party involved in a Diginote.

Users are encouraged to obtain independent legal, financial, tax, accounting, or other professional advice before creating, signing, accepting, transferring, endorsing, assigning, or relying upon a Diginote.

# Electronic Records and Signatures

By creating, signing, accepting, transferring, endorsing, assigning, paying, or otherwise interacting with a Diginote through the Wixxir platform, users consent to the use of electronic records, electronic signatures, electronic communications, electronic notifications, digital confirmations, and electronic transaction records.

Users acknowledge that electronic records, timestamps, audit logs, transaction histories, electronic confirmations, OTP verifications, digital signatures, and other platform records may be maintained by Wixxir and may serve as evidence of user actions and platform activity, subject to applicable law.

# Cancellation, Transfer, and Assignment

As a general rule, a signed Diginote cannot be cancelled unilaterally.

Cancellation of a Diginote may only be possible upon the debtor's request and the creditor's explicit acceptance.

A debtor's cancellation request alone does not automatically cancel a Diginote. Any cancellation may require the approval of the relevant creditor and completion of applicable platform procedures.

If a Diginote has been transferred, endorsed, assigned, pledged, or if the related rights have otherwise been transferred to a third party, cancellation may no longer be possible.

The parties acknowledge that transfers, endorsements, assignments, pledges, and other transfers of rights may affect the rights and obligations associated with a Diginote.

# Wixxir Platform Role

Wixxir is not a party to any dispute concerning the validity, content, amount, due date, payment, collection, transfer, endorsement, assignment, pledge, cancellation, or any other rights and obligations arising from a Diginote.

Wixxir does not act as a representative, agent, attorney, guarantor, surety, debt collector, legal advisor, financial advisor, fiduciary, or intermediary for any debtor, creditor, or other party.

Wixxir's role is limited to providing the technological infrastructure that enables information, records, notifications, transaction statuses, and data relating to Diginotes to be created, stored, processed, displayed, managed, and electronically transmitted to the relevant parties.

Wixxir does not guarantee payment, collection, recovery, enforceability, performance, validity, or fulfillment of any obligation represented by a Diginote.

# Disputes and Liability

Any dispute, payment disagreement, collection process, legal proceeding, enforcement action, contractual disagreement, or other matter arising between the parties remains solely the responsibility of the relevant parties.

To the maximum extent permitted by applicable law, Wixxir shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or economic damages arising from or related to any Diginote or any relationship between the parties associated with a Diginote.

Wixxir may retain Diginote records, transaction logs, timestamps, electronic signatures, confirmations, and related system records for compliance, operational, evidentiary, security, audit, and legal purposes.
